Bylaws

 

Article 1

Name

Vancouver Tennis Center Foundation, known as VTCF, is an association of supporters interested in enhancing the Vancouver Tennis Center and its activities.

 

Article II

Purpose

A. The purpose of VTCF is to raised community awareness of the Vancouver Tennis Center, assist VTC in developing a secure financial base, support program enhancements and lesson subsidies, and support building and capital improvements through fund raising activities and financial contributions.

B. VTCF is organized exclusively for charitable purposes and is a 501c (3) organization under the Internal Revenue Code.  VTCF carries the Tax Identification #20-427-4121.

C. The VTCF shall be non-profit, non-sectarian, non-political, and non-discriminatory in all of its polices and activities.

 

Article III

Membership

A. Membership of VTCF shall consist of all persons in the community interested in supporting the Vancouver Tennis Center through lending their name, working on fund-raising activities, and contributing financially to VTC through the Foundation.

B. Annual dues, if any, shall be determined by the Board of Directors, payable each year, or otherwise at a designated time.

 

Article IV

Board of Directors

A. there shall be a Board of Directors consisting of 9 to 25 members.  Vacancies and additions shall be filled by the Board.

B. A quorum of 5 Board members is required to conduct any business of the Board, which shall be by majority vote.

C. The current edition of Roberts Rules of Order shall govern any questions of procedures.

D. There shall be Strategic Advisors designated by the Board of Directors with their consents, who will not be voting members of the Board of Directors.  strategic Advisors may be substituted or added by the Board with their consent.

 

Article V

Meetings

A. The Board of Directors will meet on the third Monday of January, April, July, and October of each year at 7:00 PM.

B. There shall be an annual meeting designated by the Board of Directors at one of the quarterly meetings of the Board upon notice to the membership.  The VTCF Membership is anyone with an interest in the activities of Vancouver Tennis Center.

C. Any member of the VTCF may attend any quarterly meeting or the annual meeting of the Board of Directors, but only Board Member can vote.

 

Article VI

Officers

A.  There shall be a President, Vice-president, Secretary, and Treasurer elected by the Board of Directors to serve yearly terms.  Voting Board members are eligible for office and may serve consecutive terms if elected.

1 The President shall preside over the meetings of the Board of Directors, and shall represent the interest of the membership to the community.
2. The Vice-president shall serve in the absence of the President
3. The Secretary shall take minutes of the Board meetings, which shall be transcribed and presented for approval at the next Board meeting.
4.  The Treasurer shall be responsible for maintaining any financial records of the VTCF, and reporting to each meeting the current financial status of the VTCF.

 

Article VII

Financial

A. A bank account shall be maintained by VTCF to pay operating expenses and for deposit of contributions.

 

Article VIII

Committees

A. There shall be working committees made up of the membership, including the Arlene Clark Subsidy Program for Lessons for Kids, Community Relations, Finance, and Events.  Additional committees may be created by the Board of Directors as needed.

B.  Membership on the committees shall be appointed by the President, or the Board of Directors, among interested members of Vancouver Tennis Center.

 

Article IX

Executive Committee

A. There shall be an executive committee made up of the elected officers to conduct the emergency business of the VTCF.

B. Any tow of the officers can conduct the emergency business of the VTCF upon notice to the other officers.

C. Any emergency business of the Executive Committee must be presented to the members of the Board of Directors at their next regular meeting.

 

Article X

Amendments

These bylaws may be amended by a majority voted of the voting meme beers of the Board of Directors upon one month's notice being given to the members of the Board.
